Scope of These Terms. The following terms and conditions ("Our Terms") govern all transactions made through MINOORI. When you make a purchase via MINOORI, you enter into a contract under these Terms with the individual seller(s) of the products you select. While MINOORI facilitates transactions on the platform, we do not serve as the seller. Our role is to connect you with the seller(s) and to process transactions on their behalf. Consequently, MINOORI is not a contractual party in the buyer-seller relationship. All orders, regardless of delivery location, are processed by MINOORI.

Seller's Authorisation. Under our Seller Terms and Conditions, each seller appoints MINOORI as their commercial agent to negotiate and finalise sales of their products to you on their behalf. The specific details and identity of the seller will be provided in the dispatch confirmation email that confirms the acceptance of your order.

Additional Provisions for UK Customers If you are a customer in the United Kingdom ("UK Customer"), purchasing products either from or for delivery to the UK, please refer to the section titled "Additional Provisions for UK Customers." This section will apply in addition to these Terms for those purchases that are relevant only to UK Customers.

Additional Provisions for EU Customers. If you are a customer within the European Union ("EU Customer"), purchasing products either from or for delivery to an EU country, please refer to the section titled "Additional Provisions for UK and EU Customers." This section will apply in addition to these Terms for those purchases that are relevant only to EU Customers.

Acceptance of Terms. Please review Our Terms with care. By placing an order through MINOORI on Our Site, you agree to be bound by Our Terms and affirm that you are at least 18 years of age. Should you disagree with any part of Our Terms, please refrain from purchasing any products via MINOORI.

FORMATION OF CONTRACT WITH YOU

Placing Your Order. When you place an order through Our Site, you will be presented with a summary of your intended purchase and receive an email acknowledgement. Please note that this summary does not signify acceptance of your order; it is simply a confirmation that we have received it. At this point, we are conducting necessary verifications as outlined below.

Verification Process by MINOORI. Upon receiving your order, MINOORI undertakes a series of checks to ensure: product availability, accuracy of pricing on Our Site, validity of your payment details, and that your order meets our anti-fraud, credit, and security standards. We strive to ensure that all product images and information on Our Site are accurate at the time of your order. However, should discrepancies arise, it may result in our inability to fulfil your order on behalf of the seller.

Circumstances of Non-Acceptance. If we are unable to process your order due to any of the aforementioned reasons, we will inform you via email without charging you for the product.

Confirmation of Order Acceptance. Your order is considered accepted by MINOORI once we have successfully completed all relevant checks and confirmations. You will receive a confirmation email from us, which signifies the formation of a contract between you and the seller(s) for the items you have ordered. This confirmation marks the official acceptance of your order. Should there be any issues preventing us from accepting your order on behalf of the seller, we will notify you via email. For UK and EU customers, please refer to the section titled "Additional Provisions for UK and EU Customers," which will provide further details applicable to your purchase. This paragraph should be read in conjunction with those additional provisions.

PAYMENT PROCESSING

Upon Order Acceptance. Following the acceptance of your order, MINOORI will process payment. Due to the unique nature of our offerings, which may include limited batch products or those crafted upon order, payment is captured as soon as the seller verifies the ability to fulfil your order, rather than at the time of dispatch. MINOORI acts as the collecting agent on behalf of the seller, appearing as the 'merchant of record' on your payment card or account statement. We do not impose any additional fees for this service. Your payment obligation to the seller is deemed fulfilled when MINOORI successfully collects the payment on the seller's behalf.

Duties and Taxes. For orders shipped to certain destinations, you may be subject to import duties and taxes upon arrival. These are beyond MINOORI's control and must be borne by you to secure the delivery of your order. MINOORI is not responsible for these additional charges and has no influence over their application or the rates set by the customs authorities in the destination country.

CHANGE OF MIND AND RETURNS POLICY

Cancellation and Return Window. We understand that sometimes a change of heart can occur. With MINOORI, you have the flexibility to cancel your order directly from your account order page at any point before the order has been confirmed by the seller. Should you wish to cancel after confirmation but before dispatch, please reach out to [email protected] for assistance. If the order has already been dispatched, you will need to wait to receive the item and return it in accordance with our returns policy. Additionally, you can return any product within 14 days of delivery for a refund by initiating the process through our return portal. Upon confirmation, we will provide you with the designer's details for the return shipment.

Returns Due to MINOORI or Product Fault. If you are returning an item due to an error on our part or because of a product fault, we will cover all associated costs for the return and issue a full refund, including the original delivery charges. We provide a prepaid DHL returns service accessible via the returns portal in your customer account. Please report any issues within 30 days of delivery, providing a description and photos of the fault through the portal. Failure to follow these steps may result in a rejected return.

Returns Due to Customer Preference. If the return is due to a change of mind or other customer preferences, you will be responsible for the return shipping costs and will receive a refund minus the original delivery charges. Unauthorised returns, or those not processed through the MINOORI return portal, are ineligible for a refund and will be sent back at the customer's cost. For international returns, it is crucial that you cover all costs, including duties and taxes, and attach the necessary customs documentation to your parcel to avoid clearance issues. MINOORI is not liable for returns that are shipped incorrectly and encounter customs problems.

Direct Returns to Designers. Returns should be sent directly to the designer, either through our tracked prepaid DHL service for faulty items or via a tracked shipping method of your choice for all other returns.

Refund Confirmation and Processing. You will receive an email notification within 3-5 working days after the designer has received the returned item(s) and confirmed inspection. The refund will be issued to the original payment method used. For credit card refunds, please note that it may take up to one billing cycle for the refund to appear on your statement. If you have not received your refund after this period, please contact us for support.

Refund Adjustments. Should the returned product not align with our stipulated conditions or exhibit signs of use beyond preliminary inspection, we reserve the right to adjust the refund to reflect the diminished value.

Non-Returnable Items. Certain products are classified as non-returnable on the product page under the delivery & returns section. These include made-to-order items, personalised goods, face masks, personal items like earrings and hair accessories, and others as specified. Footwear must be returned in its original condition, and swimwear must be tried on over underwear without removing the tag. Skincare and beauty products must be unopened and in a re-saleable condition with all seals and packaging intact. Gift vouchers are non-refundable.

Special Provisions for UK and EU Customers

To our valued customers in the UK and EU:

When you engage in a purchase through our platform, it's important to understand that MINOORI acts with the authority given by the seller to represent them, though the seller remains ultimately accountable for the product.

While MINOORI may appear as the contracting party, the actual contractual obligations regarding the product are fulfilled by the seller. We typically do not reveal the seller's identity as part of this process; however, we can provide this information upon request. Any mentions in these Terms regarding agreements or transactions should be interpreted with this context in mind.

In the event of any dissatisfaction with a product or service, we encourage you to reach out to us. Although we are not liable for the actions of third parties, we are committed to facilitating a resolution between you and the seller.

Please be aware that the prices displayed on our Website include the applicable value-added tax for the products. Delivery fees, which may also be subject to value-added tax, are not included in these prices and will be itemised separately during the checkout process.

In instances where the stipulations under "Special Provisions for UK and EU Customers" may conflict with other sections of these Terms, the provisions detailed here will prevail for our UK and EU customers.

Essential Legal Considerations

Rights Under Law. Your statutory rights are safeguarded when it comes to products that are defective, not as described, or damaged upon delivery. These rights are not compromised by our Terms and Conditions.

Liability for Breach of Terms. Should we fail to adhere to these Terms, we accept responsibility for any loss or damage that is a direct and foreseeable result of our breach or our negligence. However, we are not liable for any loss or damage that is not predictable. "Foreseeable" loss or damage is defined as it being apparent it will occur, or if both parties knew it might happen at the time the contract was made.

Limitation of Liability. We do not limit or exclude our liability in any way that would be illegal. This includes liability for death or personal injury caused by our negligence, for fraud, or for violation of your statutory consumer rights.

Intended Use of Products. The products we offer are intended for personal, non-commercial use. We shall not be liable for any business losses, including but not limited to lost profits, revenue, business, or opportunities, or business interruption.

Applicable Law. These Terms are governed by the laws of England. Legal proceedings may be brought in the English courts. If you reside in Scotland or Northern Ireland, you may choose to bring proceedings in the courts of either your home country or England.

Dispute Resolution. If you have a complaint that you feel has not been adequately resolved by us, you may have the option to use the European Commission Online Dispute Resolution platform for independent online resolution.

Amendments to Terms. We may update these Terms to reflect changes in our services or as our business evolves. Any changes will be made by posting the updated Terms on our site, marked with the effective date. These changes will not retroactively alter any prior orders but will apply to any orders made thereafter.
